Who we are

The Service is provided by InsiderSignals ("InsiderSignals", "we", "us").

Eligibility and account

2.1

You must be at least 18 years old to use the Service.

2.2

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2.3

You must provide accurate information and keep your account details up to date.

Description of the Service

3.1

InsiderSignals provides informational tools that process and present publicly available information, including SEC Form 4 filings, and may provide scoring, rankings, visualizations, watchlists, alerts, and digests.

3.2

We may update, change, suspend, or discontinue parts of the Service at any time.

Important investment disclaimer (no advice)

4.1

The Service is for informational and educational purposes only. Nothing on the Service constitutes investment advice, tax advice, legal advice, or any recommendation to buy, sell, or hold any security or to adopt any investment strategy.

4.2

We are not a broker-dealer, investment adviser, portfolio manager, or fiduciary.

4.3

Any outputs (including scores, alerts, or "signals") are general information and do not consider your personal circumstances. You are solely responsible for your investment decisions, and you should seek advice from a licensed professional where appropriate.

4.4

Market data and filings may be incomplete, delayed, corrected, or inaccurate. Past activity is not a reliable indicator of future performance.

Data accuracy, availability, and limitations

5.1

We aim to operate the Service reliably, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

5.2

We do not guarantee the completeness, accuracy, or timeliness of data displayed or delivered via alerts/digests.

5.3

Some features may be labeled beta or experimental and may change or be removed.

User responsibilities and acceptable use

You agree that you will not:

• 6.1 Use the Service in violation of any applicable law or regulation.
• 6.2 Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• 6.3 Interfere with or disrupt the Service, including by scraping, crawling, or automated requests that unreasonably burden the Service (unless explicitly permitted in writing).
• 6.4 Reverse engineer, decompile, or attempt to discover source code except to the extent permitted by mandatory law.
• 6.5 Resell, sublicense, or commercially exploit the Service or outputs except as explicitly permitted in writing.
• 6.6 Upload or transmit malware or other harmful code.

Intellectual property and license

7.1

The Service, including its software, design, text, graphics, and trademarks, is owned by or licensed to InsiderSignals and is protected by intellectual property laws.

7.2

Subject to these Terms and your subscription status, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

7.3

You may not copy, reproduce, distribute, publicly display, or create derivative works from the Service except as permitted by mandatory law or with our written consent.

Subscriptions, trials, billing, and cancellation (email-only)

8.1 Plans and pricing.

Subscription plans, features, and pricing are described on our pricing page.

8.2 Free trials.

If you start a free trial and provide payment details, you can cancel before the trial ends by emailing info@insidersignals.io from the email address associated with your account. Unless you cancel before the trial ends, your subscription will begin and you will be charged at the start of the paid period.

8.3 Renewals.

Subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before renewal.

8.4 Cancellation.

To cancel, email info@insidersignals.io from the email address associated with your account. Cancellation stops future renewals; you will retain access until the end of the current paid period unless we state otherwise. We may request reasonable verification to protect your account.

8.5 Price changes.

We may change prices or plan features. If changes affect you, we will provide notice before they take effect. If you do not agree, you can cancel before the new price applies.

8.6 Taxes.

Prices may include or exclude taxes depending on how we present them. Any applicable taxes may be added where required.

Refunds and withdrawal (EU consumers)

9.1 Digital service.

The Service is a digital service/digital content.

9.2 Withdrawal right.

If EU consumer withdrawal rights apply, you may have a 14-day right of withdrawal for online purchases.

9.3 Performance during withdrawal period.

By using paid features immediately after purchase, you request immediate performance. Where required, we will obtain any legally required acknowledgements at checkout.

9.4 Refund policy.

Payments are non-refundable except where required by mandatory law.

Suspension and termination

10.1

We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, pose a security risk, or misuse the Service.

10.2

We may also suspend the Service for maintenance, security, or operational reasons.

10.3

Upon termination, your license to use the Service ends. Sections intended to survive termination (e.g., disclaimers, liability, IP, governing law) will survive.

Limitation of liability (EU-consumer-safe)

11.1

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for intent (opzet) or gross negligence (grove schuld), or for death/personal injury caused by negligence where applicable.

11.2

To the maximum extent permitted by law, InsiderSignals is not liable for: (a) investment losses, lost profits, or speculative damages; (b) indirect or consequential damages; (c) losses arising from delays, inaccuracies, or omissions in public filings or market data; (d) outages or interruptions outside our reasonable control.

11.3

If we are liable to you, our total liability for all claims related to the Service will not exceed the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim (or EUR 100 if you paid nothing), to the extent permitted by law.

Indemnity (limited for consumers)

If you use the Service unlawfully or in breach of these Terms and this causes harm or claims against us, you agree to cooperate with us and you may be responsible for resulting costs to the extent permitted by law. This does not reduce your mandatory consumer rights.

Privacy

Our Privacy Policy explains how we process personal data. It forms part of your use of the Service.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice via the Service and/or email. Continued use after the effective date means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the Netherlands, excluding conflict of law rules.

If you are a consumer in the EU, you may also benefit from mandatory protections under the laws of your country of residence.
